Reed Nook · Terms

The terms a reed nook sale runs on.

merrowde.com is a display and enquiry site operated by Shidawei Trading Limited. These terms apply to every quotation, invoice and supply of goods from us. Read them before you accept a quotation; if anything is unclear, ask and we will put the answer in writing.

1

Acceptance

By browsing this site, sending an enquiry or accepting a quotation you agree to these terms. If you are buying for a company, you confirm you are authorised to bind it. If you do not accept these terms, do not place an order with us.

2

This site is an enquiry site

There is no cart, no checkout and no card field on merrowde.com. Nothing on these pages is a binding offer to sell, and no payment is taken here. Prices, stock and weave dates shown or discussed are indicative until we confirm them in writing.

3

When a contract is formed

A contract comes into existence only when we issue a written confirmation or a formal invoice naming the pieces, the quantity, the price and the delivery basis, and you accept it. An enquiry, a WhatsApp exchange, a verbal figure or a stock note is not a contract. We may decline any order, including where a lot has finished or a price was quoted in error.

4

Prices and currency

Prices are quoted in United States dollars (USD) unless the confirmation says otherwise. A quotation holds for 14 days or for the period stated on it, whichever is shorter, because cane lots and freight rates move. Where a figure on the site differs from the figure in the confirmation email, the confirmation governs. Prices exclude destination taxes and duties unless DDP is agreed in writing.

5

Payment

Payment runs by bank transfer or another method named on our invoice. We never request card numbers, one-time codes or banking passwords by email or WhatsApp, and we do not accept payment through this site. Unless credit terms are agreed in writing, goods are dispatched after cleared funds. Bank charges on the sending side are yours; charges on our side are ours.

6

Lead time

Ready pieces usually leave us within three working days of confirmation. A piece that has to be woven starts with a soak date, and a run of twenty stools is not a run of one: quoted lead times are estimates made in good faith and are not a guaranteed delivery date unless we expressly say so in the confirmation.

7

Large and bulky freight

Stools, plant stands, laundry hampers, picnic hampers and underbed boxes travel as bulky or oversize freight. Couriers bill these on volumetric or dimensional weight, not on the kilogram figure on the product page, and a carton that is light but long is charged as if it were heavy. Where the carton exceeds a carrier's length or girth limit it moves to a freight forwarder, which may add terminal handling, documentation and delivery-appointment charges. We will show the freight basis on the quotation; if a carrier re-weighs or re-measures a parcel, the difference is passed through at cost with the carrier's evidence.

8

Risk and title

Risk in the goods passes to you on delivery to the address on the invoice, or on collection by your nominated forwarder. Title passes only when we have received payment in full. Until title passes you hold the goods as our bailee and must keep them identifiable and undamaged.

9

Your duty to inspect on delivery

Open the carton on the day it arrives, before you move it far. Check the frame, the rims, the legs and the weave against the invoice, and photograph the carton and any damage before unpacking further. Report a shortage, a wrong piece or visible transit damage the same day; report a latent fault within 14 days of delivery. If you sign for a parcel as clear and then discover crushed weave a week later, we will still help, but the courier claim is much harder to win and you may carry part of the loss.

10

Duties, taxes and clearance

Import duty, VAT, sales tax, brokerage, quarantine inspection and any licence are the buyer's responsibility unless we have agreed DDP in writing. Give us a complete and correct delivery address, a contact telephone number and, where required, a tax or import registration number. If a shipment is delayed, returned or destroyed because documents or duties were not supplied, the resulting cost is yours.

11

Inspection, tolerance and natural variation

Hand-woven cane is a natural product. We work to a tolerance of 2 mm on weave irregularity and 3 mm on rim or leg offset, and we accept node marks, strip joins and colour variation between pieces as normal. A strand lift over 30 mm, a structural break, or a piece that fails its stated load rating is a fault and we replace it. Our returns page sets out the full procedure and the 14-day window.

12

Returns, cancellation and warranty

Change-of-mind returns run for 14 days from delivery and need a return number; custom, sized and personalised pieces are excluded. Warranty covers structural failure in normal use for 12 months. Nothing in these terms reduces a statutory right you cannot waive, including the EU and UK 14-day cancellation right for distance sales. See returns for the detail.

13

Intellectual property

The photographs, product copy, drawings, tolerance notes and page design on this site belong to us or are used with permission. You may quote a description or share a link for editorial, review or procurement purposes. You may not copy the site wholesale, resell our photography, or use our name or marks in a way that suggests endorsement without written consent.

14

Acceptable use

Do not attempt to break, overload or probe this site, scrape it at volume, submit false enquiries, or use our contact channels to send unlawful, abusive or misleading material. We may block traffic and refuse orders where we see that behaviour, and we may report it.

15

Third-party links

Where we link to a carrier, a customs authority or a standards body, the link is for convenience. We do not control those sites and we are not responsible for their content, accuracy or privacy practices.

16

Liability

We supply goods of the description and tolerance stated. To the fullest extent Hong Kong law allows, we exclude implied terms we have not expressly agreed, and we are not liable for loss of profit, loss of opportunity or indirect loss. Our total liability for any order is limited to the invoice value of the goods in that order. Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Goods are domestic homeware: do not use a basket as a seat or a tray as a step.

17

Force majeure

We are not liable for delay or failure caused by events outside our reasonable control: typhoon, flood, fire, epidemic, strike, carrier failure, port congestion, export or import restriction, or a shortage of rattan of the required grade. If such an event continues for more than 60 days either party may cancel the affected part of the order, and we will refund amounts paid for goods not yet supplied.

18

Governing law and jurisdiction

These terms and any dispute arising from them are governed by the laws of the Hong Kong Special Administrative Region. The courts of the Hong Kong Special Administrative Region have exclusive jurisdiction, and both parties submit to it. Before starting proceedings, write to us and give us 21 days to resolve the matter directly.

19

Changes and severability

We may update these terms; the version in force is the one published on this page when your order is confirmed. If a provision is found unenforceable, it is severed and the rest continues in force. A failure to enforce a provision is not a waiver of it.
